Outline

The sponsored program "Global Securities Market Law" was established in October 2010 at the University of Tokyo Graduate Schools for Law and Politics through a generous endowment from BNP Paribas Securities (Japan) Limited (at the time the course was established, the Tokyo branch of BNP Paribas Securities). The Program was established on October 1, 2010 and finished on March 31, 2016.

The Program was administered aiming at the following three objectives.

First, the Program conducted wide-ranging research on legal theory and practice related to the Financial Instruments and Exchange Act, and contributed to the development of the Financial Instruments and Exchange Act.

Second, the Program held classes in English at the undergraduate and graduate levels, conducted lectures and seminars for the public including foreigners, worked to spread information on the Japanese legal system for securities markets and to advance its systematic understanding, and contributed to the internaitonalization of the Financial Instruments and Exchange Act.

Third, the Program also advanced research, as necessary, regarding the Companies Act, which is closlely related to the Financial Instruments and Exchange Act, and on Japanese corporate law in general.

To advance research on legal theory and practice related to the Financial Instruments and Exchange Act, the Program pursued theoretical reserach including comparative legal research. With the assistance of practitioners, the Program also aimed at detailed legal investigations of the principles of the regulatory system for Japan’s Financial Instruments and Exchange Act and the "living norms" at the practice level including customary practices and self-regulation. We hope the results of these examinations of "living norms" in theory and practice will contribute to the legislative debate on Japan’s Financial Instruments and Exchange Act (FIEA), which is amended almost every year.

In education, reflecting the results of the above-stated research activities, the Program prepared materials in English concerning the Financial Instruments and Exchange Act with assistance from practitioners, presented lectures and practices as the sponsored program "Global Securities Market Law" including undergraduate and graduate classes in English on the Financial Instruments and Exchange Act, and held lectures and seminars for the public, including foreigners.

In light of the purport and goals of this sponsored Program, it was considered important to compile and release a database in English on the Financial Instruments and Exchange Act. So the Program assembled a database systematically arranging the main cases and released its English translation. Along with this, a list of important concepts in the Financial Securities and Exchange Act and terms considered important for reading related cases and literature was also prepared, together with proposed English translations considered appropriate. These were all compiled into a database that we intend to continue to update and improve when appropriate, even after the end of the sponsored Program.

Some of the seminar and other materials based on this Program are presented on this homepage, and some of the titles of the papers which are the results of the Program are presented as the "Financial and Commercial Law Working Paper Series."
